Terms of Service

These Terms of Service ("Terms") govern access to and use of the TechSpendIQ platform, website, software, services, and related features (the "Service"). By creating an account or using the Service, you agree to these Terms.

If you accept these Terms on behalf of a company or organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

TechSpendIQ provides technology pricing intelligence and procurement analysis tools, including:

• IQ Price
• Quote Analysis
• Pricing comparisons
• Market pricing intelligence
• Savings opportunity analysis
• Procurement reports
• Pricing evidence
• Price Monitoring
• Historical pricing information
• Related analytics and reporting

TechSpendIQ is a software platform. It is not a reseller, distributor, broker, or seller of the products analyzed through the Service unless explicitly stated otherwise.

IQ Price is an analytical pricing benchmark and procurement decision-support tool. It is not a guaranteed purchase price, guaranteed savings amount, quote, offer, or promise that you can purchase a product at the displayed price. IQ Price is not necessarily the lowest available market price.

Pricing information can change because of vendor pricing, distributor pricing, availability, quantity, geography, contract terms, configuration, promotions, timing, market conditions, shipping, taxes, licensing terms, and other commercial factors.

TechSpendIQ does not guarantee that any vendor will honor an IQ Price or Best Known Available Price.

When insufficient qualifying pricing evidence exists, TechSpendIQ may display "Limited Market Data." TechSpendIQ does not guarantee that every product or part will have an IQ Price. The absence of an IQ Price does not mean the product has no market value or that your quoted price is incorrect.

Savings opportunities displayed by TechSpendIQ are estimates based on available pricing evidence and the information you provide. They are not guarantees of actual savings. Actual savings may differ based on negotiation, vendor availability, product configuration, quantity, timing, contract terms, and other commercial factors.

You may upload vendor quotes and other pricing information through Quote Analysis. TechSpendIQ may use eligible pricing information from submitted quotes to improve its aggregate market intelligence, subject to your organization's Market Intelligence Contribution setting.

Customer-specific quotes, company identity, and raw customer documents remain private and are not displayed to other customers. TechSpendIQ may use anonymized and aggregated pricing information to improve market benchmarks and pricing intelligence. Other customers cannot see who submitted a particular price.

You retain ownership of the information and documents you submit. You grant TechSpendIQ the limited rights necessary to:

• Provide the Service
• Process uploaded documents
• Analyze pricing
• Provide reports
• Maintain your account
• Improve the Service
• Create anonymized and aggregated pricing intelligence as permitted by these Terms

TechSpendIQ does not claim ownership of your documents or confidential business information.

TechSpendIQ will take reasonable measures to protect customer information. Customer-specific information will not be disclosed publicly except as necessary to provide the Service, with your authorization, as required by law, to service providers operating the platform, or as otherwise permitted under these Terms.

You must provide accurate account information. You are responsible for maintaining account credentials, protecting passwords, controlling access to your organization, and notifying TechSpendIQ of unauthorized access.

TechSpendIQ may suspend accounts where there is suspected abuse, fraud, security risk, or violation of these Terms.

TechSpendIQ accounts may be organized around a company or organization. The organization owner may manage users, access, subscription, and organization information. Organization administrators are responsible for ensuring their users are authorized to access the organization's account.

TechSpendIQ offers a free plan and paid subscription plans with different monthly pricing-request allowances and features. Current plans, pricing, and allowances are displayed on the TechSpendIQ website and within your account, and may change over time. The pricing shown at the time you subscribe or renew applies.

• Billing frequency: paid plans are billed on the interval shown at checkout (for example, monthly).
• Renewal: paid subscriptions renew automatically at the end of each billing period unless canceled.
• Taxes: fees exclude applicable taxes unless stated otherwise; you are responsible for applicable taxes.
• Failed payments: if a payment fails, TechSpendIQ may retry the charge, and may limit or suspend paid features until payment is resolved.
• Refunds: fees are non-refundable except where required by law or expressly stated in writing by TechSpendIQ.
• Upgrades and downgrades: plan changes take effect as described in your account at the time of the change.

TechSpendIQ may offer free trials of paid plans. The trial terms shown during signup or checkout control. Where a trial does not require a payment method, the account returns to the Free plan when the trial ends unless you choose a paid subscription.

If a payment method is required for a trial, you authorize TechSpendIQ to charge the applicable subscription fee when the trial ends unless you cancel before the trial expires. These conversion terms will always be shown before you start the trial.

You may cancel a paid subscription through the cancellation process provided in your account or by contacting support. Unless otherwise stated, cancellation prevents future renewal, access continues through the current paid period, and previously generated reports and account information may be retained according to TechSpendIQ's data retention practices.

A "successful pricing request" is a pricing check or Quote Analysis that the Service completes and returns results for. Each completed Quote Analysis counts as one pricing request regardless of the number of line items. Failed requests do not count toward your allowance where the usage system is designed to exclude them.

Usage limits may apply to pricing requests, Quote Analysis, monitoring, and other subscription-specific functionality.

Quote Analysis uses automated technology to extract information from uploaded documents, identify products, match products against available data, compare pricing, identify potential savings, and generate analysis and reports.

You remain responsible for reviewing results before making purchasing decisions. TechSpendIQ does not guarantee that every extracted or matched product will be correct.

Some features use artificial intelligence or machine-learning systems to assist with document extraction, product identification, quote analysis, data normalization, classification, and other functionality. AI-generated or AI-assisted results may contain errors. Review results before relying on them for purchasing, financial, contractual, or other business decisions.

TechSpendIQ relies on third-party services for authentication, cloud infrastructure, document processing, AI processing, email, billing, analytics, and other infrastructure. To the extent permitted by law, TechSpendIQ is not responsible for outages or failures of third-party services.

You may not use TechSpendIQ to:

• Violate applicable laws
• Upload malicious software
• Attempt unauthorized access
• Interfere with the platform
• Reverse engineer the Service where prohibited by law
• Circumvent usage limits
• Abuse pricing requests
• Scrape or systematically extract TechSpendIQ data
• Resell access without authorization
• Upload information you do not have the right to provide

TechSpendIQ owns the platform, software, branding, interfaces, methodologies, databases, documentation, and other TechSpendIQ intellectual property, excluding customer-owned content. You receive a limited, non-exclusive, non-transferable right to use the Service during your subscription or applicable account period.

TechSpendIQ's market intelligence is generated using available pricing evidence and proprietary benchmark methodologies. TechSpendIQ may modify or improve its methodology over time, and such changes may affect benchmark results. TechSpendIQ does not guarantee that its methodology will produce the same result as another pricing source, reseller, distributor, vendor, or procurement organization.

TechSpendIQ provides software and analytical information. The Service does not constitute legal, accounting, financial, tax, or investment advice, or procurement representation. You remain responsible for your purchasing and procurement decisions.

Except as expressly stated in these Terms, the Service is provided "as is" and "as available." To the maximum extent permitted by law, TechSpendIQ makes no guarantee regarding savings, the lowest possible price, vendor acceptance, product availability, the accuracy of every market observation, uninterrupted availability, or suitability for a particular procurement decision.

To the maximum extent permitted by law, TechSpendIQ will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, savings, or data, arising out of or related to the Service. TechSpendIQ's aggregate liability arising out of or related to these Terms or the Service will not exceed [LIABILITY CAP — TO BE DETERMINED BY COUNSEL].

You agree to defend, indemnify, and hold harmless TechSpendIQ and its officers, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Service, your violation of these Terms, your violation of applicable law, content you upload without the right to do so, or infringement caused by content you provide.

You may stop using the Service and cancel your subscription at any time. TechSpendIQ may suspend or terminate access for violation of these Terms, non-payment, security risk, or as required by law. Upon termination, account access ends; customer data is handled according to the Privacy Policy and retention practices; fees already due remain payable; and provisions that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) survive.

TechSpendIQ may update these Terms periodically. For material changes, TechSpendIQ will provide notice by email, in-app notice, or by updating the effective date on this page before the changes take effect. Continued use after the effective date constitutes acceptance of the updated Terms.
